1. Ownership of Intellectual Property

The Driver/Partner acknowledges that all intellectual property rights—including the TheVanApp name, logo, trademarks, service marks, designs, trade dress, mobile application, website, and related materials (collectively, the “Intellectual Property”)—are and shall remain the exclusive property of Asergis Operations Limited. Nothing in this Agreement transfers or assigns any ownership rights in the Intellectual Property to the Driver/Partner.

2. Limited Right to Use

Subject to this Agreement, the Driver/Partner is granted a limited, non-exclusive, non-transferable, revocable license to use the Intellectual Property solely for identifying themselves as an authorized driver/partner on TheVanApp platform.
Such use is limited to performing transport services and displaying official TheVanApp materials provided or expressly authorized by Asergis Operations Limited.

3. Prohibited Uses

The Driver/Partner shall not, without prior written consent from Asergis Operations Limited:

Reproduce, modify, distribute, or create derivative works of the Intellectual Property.
Register or attempt to register any business name, domain, social media handle, or app name that incorporates or is confusingly similar to TheVanApp.
Use the Intellectual Property on unauthorized merchandise, promotional materials, advertisements, or communications.
Represent themselves as an employee, agent, or legal representative of TheVanApp.
Use the Intellectual Property in a defamatory, misleading, or unlawful manner.

4. Driver/Partner Content

Any content created by the Driver/Partner in connection with their use of the App (e.g., reviews, feedback, communications with customers) remains the Driver/Partner’s property.
By submitting such content through the App, the Driver/Partner grants TheVanApp a worldwide, royalty-free, non-exclusive license to use, display, and reproduce such content solely for operating and improving the platform.

5. Enforcement & Remedies

Asergis Operations Limited reserves the right to monitor and review Drivers/Partners’ use of the Intellectual Property.
Any unauthorized or improper use constitutes a material breach and may result in immediate suspension or termination, and legal action.

6. Survival

This Clause survives termination; upon termination, the Driver/Partner shall cease all use of the Intellectual Property.

7. Enforcement Actions

Violations of our branding guidelines may result in:

Cease and desist notices
Legal action for trademark infringement
Removal of unauthorized materials
Damages and injunctive relief
Criminal prosecution for counterfeiting

Serious or repeated violations may lead to permanent platform suspension and further legal remedies.
